The rules are pretty simple.
Welcome to TimCoxSpeaks.com.
This is the professional speaking website of Tim Cox and is operated by SavageGrit LLC (“SavageGrit,” “we,” “us” or “our”).
These terms of use explain the rules that apply when you visit or use TimCoxSpeaks.com and any pages, resources, downloads or other online features that link to these terms (collectively, the “site”).
By using the site, you agree to these terms and our privacy policy. If you don't agree, don't use the site. Pretty simple.
1. What this site is for
TimCoxSpeaks.com provides information about Tim Cox, his speaking work, keynote programs, experience, ideas, resources and availability for potential engagements.
We may add, remove, update or change content, features and resources on the site at any time.
We don't promise that every page, video, download, resource or feature will always be available.
2. Use the site like a reasonable human.
You may use the site for lawful personal or legitimate business purposes.
You may not:
· Use the site for unlawful, fraudulent, deceptive, abusive or malicious purposes.
· Attempt to gain unauthorized access to the site, servers, systems, accounts, networks or data.
· Interfere with the operation, security or performance of the site.
· Introduce viruses, malware, malicious code or other harmful technology.
· Circumvent or attempt to defeat security measures.
· Impersonate another person or organization or misrepresent your identity or affiliation.
· Use bots, scrapers, crawlers or similar automated technologies to systematically collect or extract site content except as authorized by us or permitted by law.
· Use the site or its content to violate another person's intellectual property, privacy, publicity or other legal rights.
· Help someone else do any of the above.
We may restrict or terminate access when we reasonably believe the site is being misused or these terms have been violated.
3. Tim's stuff is still Tim's stuff.
Unless otherwise stated, the site and its content are owned by, licensed to or used with permission by SavageGrit LLC and are protected by applicable intellectual property laws.
That includes, as applicable:
· The Tim Cox name, brand, logos and other brand identifiers.
· Keynote names, concepts, frameworks and terminology.
· Written content and website copy.
· Speeches, presentations and presentation materials.
· Stories and original written or recorded material.
· Graphics and other visual materials.
· Photographs.
· Video and audio.
· Speaker materials, biographies and downloadable resources.
· Site design and other original content.
Nothing about making something available on the site transfers ownership of it to you.
You can look. You can learn. You can decide Tim belongs on your stage.
That doesn't make the material yours.
4. Don't steal our shit.
Unless we give you permission or applicable law allows otherwise, you may not copy, reproduce, republish, distribute, sell, license, modify, adapt, publicly display, publicly perform, create derivative works from or commercially exploit protected material from the site.
You also may not use site content to create competing speeches, presentations, training programs, consulting products, publications, digital products or other commercial materials.
Nothing in these terms is intended to restrict rights that cannot lawfully be restricted.
If you want to use something, ask.
5. Speaker assets are there for a reason.
We may make photographs, biographies, introductions, logos, speaker one-sheets, audiovisual requirements and other speaker assets available to event organizers, meeting professionals, speaker bureaus, media organizations and others working with Tim.
If materials are specifically provided or identified for promotional use in connection with an actual or prospective Tim Cox speaking engagement, you may use them for that intended purpose.
That permission does not give you ownership of the materials or permission to materially alter them, use them to promote someone else, imply an endorsement that doesn't exist or use them for unrelated commercial purposes.
If a separate speaking agreement or written permission establishes different usage rights, that agreement or permission controls.
6. A booking inquiry isn't a booking.
You may use the site to ask about Tim's availability or submit information about a potential speaking engagement.
Submitting a form, sending an email, having a conversation or receiving information from us does not mean Tim is booked for your event.
A speaking engagement exists only when the applicable agreement has been accepted or executed as required by the parties.
Until then, nobody should be printing Tim's name on 10,000 programs.
7. The speaking agreement controls the speaking engagement.
Actual speaking engagements may be governed by a separate speaking agreement, proposal, rider, statement of work or other written agreement.
Those documents may address matters such as fees, deposits, travel, cancellation, rescheduling, recording, intellectual property, audiovisual requirements, event promotion and other engagement-specific terms.
If an engagement-specific agreement conflicts with these general terms of use, the engagement-specific agreement controls the matters it governs.
These terms govern the website. The speaking agreement governs the gig.
8. This is business content, not individualized professional advice.
The site may include Tim's experiences, opinions, stories, business lessons and information concerning leadership, operations, execution, accountability, organizational performance and other business topics.
That content is provided for general informational and educational purposes.
Unless we expressly agree otherwise in writing, content on the site is not individualized legal, tax, accounting, financial, investment, employment, human resources or other regulated professional advice.
You are responsible for making decisions appropriate to your circumstances and obtaining professional advice when appropriate.
9. Your results are still your results.
Tim talks about real companies, real experiences and real business results.
That doesn't mean we're promising yours.
Examples, stories, testimonials, financial figures, business outcomes or other results discussed on the site are not guarantees that you, your organization or your audience will achieve the same or similar results.
Business outcomes depend on a lot of things, including decisions, leadership, people, resources, market conditions and whether anybody actually does something Monday morning.
10. Testimonials are people's opinions.
The site may include testimonials, endorsements, reviews or comments from people who have worked with, learned from or experienced Tim.
Those statements reflect the experiences and opinions of the people providing them. They aren't guarantees of what your experience or results will be.
We don't claim that every person who hears Tim speak will have the same reaction. That would be a hell of a promise.
11. Sometimes we send you somewhere else.
The site may contain links to or embedded content from third-party websites and services, including video platforms, social networks, event resources or other websites.
A link doesn't mean we own, control or guarantee what's on the other end.
Third-party websites and services have their own terms, privacy policies and practices. Your use of those services is generally governed by their rules.
We're not responsible for websites or services we don't control.
12. Things occasionally break.
We work to keep TimCoxSpeaks.com useful, accurate, secure and functioning properly. But websites are websites.
We don't guarantee that the site will always be uninterrupted, error-free, complete, current, secure or available, or that every error will be corrected immediately.
We may update the site, perform maintenance or experience outages and other circumstances outside our reasonable control.
13. The legal disclaimer
Here's the part lawyers usually make painful to read.
To the fullest extent permitted by applicable law, the site and its content, features, resources and materials are provided on an “as is” and “as available” basis.
SavageGrit LLC disclaims warranties and representations, express or implied, to the extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, title and noninfringement.
We don't warrant that the site or its content will meet every expectation, produce a particular result or always be accurate, complete, uninterrupted, secure or error-free.
Nothing in these terms excludes a warranty, right or remedy that applicable law does not allow us to exclude.
14. There are limits to what we're responsible for.
To the fullest extent permitted by applicable law, SavageGrit LLC and its owners, members, managers, employees, contractors, agents, representatives, licensors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising out of or relating to the site or your use of or inability to use it.
This includes, where permitted by law, losses involving profits, revenue, business opportunities, goodwill, data or business interruption.
If SavageGrit LLC is found liable to you for a claim arising solely from your use of the public site and no separate written agreement governs that claim, our aggregate liability for that claim will not exceed $69, to the fullest extent permitted by applicable law.
These limitations do not apply where liability cannot lawfully be excluded or limited.
If a separate written agreement with SavageGrit LLC governs the matter, the liability provisions in that agreement control.
15. If your misuse creates the mess, don't hand us the mop.
To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless SavageGrit LLC and its owners, members, managers, employees, contractors, agents and representatives from third-party claims, liabilities, damages, judgments, losses and reasonable costs and attorneys' fees arising from:
· Your unlawful or unauthorized use of the site.
· Your material violation of these terms.
· Your infringement or violation of another person's rights.
· Information or material you submit through the site that violates applicable law or another person's rights.
This section does not require indemnification where prohibited by applicable law.
16. Privacy gets its own policy.
Our collection, use and disclosure of personal information through TimCoxSpeaks.com are addressed in our privacy policy.
If you're giving us information, you should know what we're doing with it. That's why we wrote the thing.
17. Nevada is home base.
These terms and disputes arising from or relating to them or the site are governed by the laws of the state of Nevada, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Subject to any non-waivable rights provided by applicable law, legal proceedings arising from or relating to these terms or the site will be brought in the appropriate state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction and venue.
A separate speaking agreement or other written agreement may establish different governing-law, venue or dispute-resolution provisions. If it does, that agreement controls the matters it governs.
18. We can change these terms.
We may update these terms as the site, our business, technology or applicable law changes. When we do, we'll update the effective date at the top.
Changes become effective when posted unless we state otherwise or applicable law requires something different.
Your continued use of the site after revised terms become effective constitutes acceptance of those terms to the extent permitted by law. If you don't agree with the revised terms, stop using the site.
19. A few final legal things
If any provision of these terms is found invalid, illegal or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
Our failure to enforce a provision or exercise a right does not waive that provision or right.
Headings are here to make this easier to read. They don't change the meaning of the provisions.
These terms, together with the privacy policy and any other terms expressly incorporated by reference, govern general use of TimCoxSpeaks.com. Nothing in these terms creates a partnership, joint venture, employment, agency, fiduciary or franchise relationship between you and SavageGrit LLC merely because you use the site.
